Terms and Conditions

Atlas Upkeep is a trade name of Atlas Cleaning LLC, an Alabama limited liability company. Last updated: September 26, 2026. 1. Services Covered These Terms and Conditions apply to all services provided by Atlas Cleaning LLC d/b/a Atlas Upkeep ("Atlas Upkeep," "we," "us"), including but not limited to: • Residential cleaning (recurring, deep, move-in/move-out) • Commercial, office, and janitorial cleaning • Carpet, upholstery, and hard-floor care (including waxing and refinishing) • Property turnover, make-ready, clean-out, and trash-out services • Lawn care and landscaping maintenance (mowing, edging, trimming, weed control, leaf removal, debris removal) • Handyman and minor repair services • Property walkthroughs, condition reports, and photo documentation • Any other property maintenance service described in an estimate, work order, proposal, or invoice The term "client" means the person or entity requesting or paying for services, including property owners, tenants, property managers, real estate agents, HOAs, and their authorized representatives. 2. Payment Terms Payment is due in full on the day of service unless otherwise approved in writing by management. A 3.5% processing fee applies to all credit and debit card payments unless otherwise waived or approved by management. Payment may also be made by cash, check, or ACH transfer. Commercial and property-management accounts may be invoiced on terms agreed in writing. Past-due balances may be subject to late fees as permitted by law, and services may be suspended until the account is brought current. 3. Confirmation of Scheduled Services Receipt of an invoice, estimate, proposal, work order, or service confirmation constitutes acknowledgment and confirmation of the scheduled appointment(s) and requested services. 4. Cancellations and Rescheduling Clients should notify us as early as possible if they need to cancel or reschedule. A cancellation or late-rescheduling fee may apply as stated in the client's estimate, proposal, or service agreement. Outdoor services (including lawn care and landscaping) may be rescheduled by Atlas Upkeep due to rain, storms, extreme heat, or other unsafe weather conditions without penalty to either party. 5. Access to Property / Lockout or Service Fee The client is responsible for ensuring proper and timely access to the property at the scheduled service time, including working keys, lockbox codes, gate codes, alarm codes, or any other required access instructions. If the team arrives and cannot access the property for reasons outside the control of Atlas Cleaning LLC, including absence of a lockbox, missing or incorrect access codes, locked gates, inaccessible keys, unrestrained pets, or failure to provide proper access instructions, a service fee / lockout fee of $100.00 may apply by default. Management reserves the right, at its sole discretion, to waive, reduce, or adjust this fee depending on the circumstances. 6. Utilities and Site Readiness For interior cleaning, carpet cleaning, turnover, and repair work, running water and electricity must be active and working at the property at the time of service. If utilities are not available, the service may be rescheduled and a trip or service fee may apply. For exterior work, the client should remove or clearly mark items that could be damaged or pose a hazard, including toys, hoses, pet waste, sprinkler heads, low-voltage or landscape lighting, invisible pet fences, and other hidden or buried objects. 7. Condition of Premises / Right to Refuse Service Atlas Cleaning LLC reserves the right to refuse, suspend, or discontinue service at its sole discretion if the premises are excessively cluttered, unsafe, unsanitary, hazardous, or pose a risk to the health, safety, or well-being of its employees, agents, or contractors, including but not limited to animal or human waste, biohazards, sharps, infestations, mold, aggressive animals, structurally unsafe areas, or suspected hazardous materials. In such cases, a cancellation fee, lockout fee, service fee, and/or partial or full service charge may still apply. 8. Scope of Services Services will be performed according to the scope agreed upon at booking, estimate, proposal, or work order. Additional services requested at the time of service, or any material difference between the actual property condition and the condition represented at booking (including property size, debris volume, lawn height, or extent of repairs), may result in additional charges, revised pricing, or rescheduling. 9. Clean-Outs, Trash-Outs, and Removal of Items For clean-out and trash-out services, the client represents and warrants that it is the owner of the property or is legally authorized by the owner to direct the removal and disposal of all items and contents identified in the work order. Atlas Upkeep will not be responsible for items removed or disposed of in accordance with the client's instructions. Valuables, important documents, firearms, medications, and personal effects the client wishes to keep must be removed or clearly identified before service begins. Disposal, dump, landfill, and hauling fees are billed as stated in the estimate or at cost if not otherwise specified. Hazardous materials (including paint, chemicals, fuel, tires, batteries, and asbestos-containing materials) may be excluded or subject to additional charges. 10. Handyman and Repair Work Handyman services are limited to minor repairs and maintenance. Atlas Upkeep does not perform work that requires a state or municipal license, permit, or certification (such as electrical, plumbing, HVAC, roofing, structural, or general-contractor work) unless it holds the required license, and may refer such work to licensed professionals. Materials and parts are billed separately unless included in the estimate. Atlas Upkeep is not responsible for defects in materials supplied by the client or for pre-existing conditions discovered during the work. 11. Walkthroughs, Condition Reports, and Photos Property walkthroughs and condition reports are visual, non-invasive observations for the client's information only. They are not licensed home inspections, appraisals, or engineering evaluations, and should not be relied upon as such. Atlas Upkeep may take before-and-after photos or videos of the work area for quality control, documentation, and dispute resolution. These records will not be published publicly without the client's permission. 12. Damage, Breakage, and Valuables Clients are asked to secure or remove fragile items, cash, jewelry, and irreplaceable valuables before service. Any damage believed to have been caused by our team must be reported in writing within twenty-four (24) hours of service, with photos where possible, so that it can be reviewed. Atlas Upkeep will, at its option, repair, replace, or reimburse the reasonable value of items damaged through its proven negligence, subject to the limits of its insurance coverage. Atlas Upkeep is not responsible for items that were improperly installed, already damaged, worn, or unstable, or for damage resulting from following the client's instructions. 13. Acceptance of Terms Payment of an invoice, approval of an estimate or proposal, or allowing services to begin constitutes the client's full acceptance of these Terms and Conditions. 14. Inspection, Acceptance of Services, and Limited Dispute Period The client is responsible for inspecting the services promptly upon completion. Any concern, claim, complaint, or dispute regarding quality, condition, scope, or completion of services must be submitted in writing to Atlas Cleaning LLC within twenty-four (24) hours following completion of the service or payment, whichever occurs first. Failure to provide written notice within this period constitutes full and final acceptance of the services rendered and a waiver of any related claims or disputes. Where a timely concern is confirmed, Atlas Upkeep's remedy is to return and correct the affected area at no additional charge. 15. Limitation of Claims Atlas Cleaning LLC shall not be liable for complaints, claims, or deficiencies reported after the twenty-four (24) hour notice period. Atlas Cleaning LLC is not responsible for pre-existing damage, normal wear and tear, deterioration, improper installation of fixtures or surfaces, plant or turf loss caused by weather, drought, disease, pests, or lack of watering, or conditions not reasonably visible at the time service is performed. To the extent permitted by law, Atlas Cleaning LLC's total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim, except where covered by its insurance. 16. No Guarantee in Hazardous or Severely Neglected Conditions In cases involving excessive buildup, neglect, unsanitary conditions, overgrowth, or other extreme circumstances, Atlas Cleaning LLC does not guarantee complete removal of stains, odors, residue, discoloration, or other permanent or semi-permanent conditions, nor full restoration of neglected lawns or landscaping. 17. Non-Solicitation of Staff During service and for twelve (12) months after the last service date, the client agrees not to directly hire or engage any Atlas Upkeep employee or contractor who performed services at the property, except through Atlas Upkeep. 18. Governing Law These Terms and Conditions are governed by the laws of the State of Alabama. Any dispute shall be brought in the courts located in Jefferson County, Alabama. 19. Governing Understanding and Changes These Terms and Conditions apply to all residential, commercial, and property services provided by Atlas Cleaning LLC d/b/a Atlas Upkeep unless otherwise stated in a separate written agreement signed by management. If any provision is found unenforceable, the remaining provisions remain in effect. Atlas Upkeep may update these Terms from time to time; the version posted on atlasupkeep.com at the time of service applies.
